14 September 2026 Dearborn County Redevelopment Meeting Notes

Present: Jim Deaton, Chairman, Dennis Kraus,Jr., Tom Tepe, Jordan Hoffman, Jim Mansfield, Doug Baker, and (non- voting school board member)

ABSENT- Trevor Bischoff, wife went into labor today. 

Also present: Sue Hayden, county administrator and minute taker, Anthony Smart, attorney, Connie Fromhold, Auditor and DCRC treasurer.

Title VI statement read as legally required.Election of Officers for 2026

Certification of Executive Session certified they only discussed what was advertised. 

Action from Executive Session- No Action 

HOUSEKEEPING:

Approval of August 10th and September 8th Minutes -Approved with Hoffman abstaining as he wasn’t at either meeting. 

Claims: Drake Lawn Care- $750

Bayer Becker $6,000 for 3 invoices

TIF Cash Flow Analysis - Review

OLD BUSINESS:

TWG Development Project Update- One Dearborn- Mike Perleberg- Multifamily housing on Ludlow Hill by the hospital. They are going to exercise the first extension to push back closing 60 days. They pay $25,000 earnest money non- refundable to do this. They are going to Planning Commission with Lawrenceburg. 

Project Compass Update- One Dearborn- Mike Perleberg presented a quick summary with pictures. (See video of meeting)

26 acre on West Harrison Brookville Rd $215million investment on Phase 1. May do 2 other phases at about $100 million each. Average wage $31.25 per/hour. This is considerably higher than average wage in the county.  Building will be 80-90 ft tall- 100 ft with the stacks. 

This is the 25th site for Givaudan in North America. 

IEDC- $1million toward water project infrastructure thru Industrial Development Grant. 

Resolution 2026-004 Approving the sale of certain  real estate to Givaudan Flavors Corporation  ratifying the purchase and sale agreement- Approved

Economic Development Agreement- Approved

Purchase of 1 acre US 50 Business Park. They will construct a building within 36 months after closing per Anthony Smart. Closed on the last date. Purchase Offer  $53,000- received $43,000 plus after expenses which went into the DCRC cash account. Service station with convenience store and a coffee shop. They have 2 other locations like this in Indiana. 

Tri Township Water Project Update- Perleberg and Trevor Bischoff were working on this. Banning Engineer who works for Tri Township too has a Desktop Review Proposal.- won’t exceed $2800. To initiate  Phase 2-  $17,000 hourly fee (per site fee) was questioned by Denny Kraus, Jr.  Discussion regarding that high fee. Board decided they do not have to decide Phase 2 today. 

Approved Phase 1 only for a max of 3 sites at $2800 per site- then get a Clarification on Phase 2 costs for next meeting. 

NEW BUSINESS: Anthony Smart said the company is paying the fees at closing.

Baker Tilly Bond Issuance Proposal- Approved

Barnes and Thornburg Bond Issuance Proposal- Approved

Declaratory Resolution 2026-005  for 2026 Givaudan Allocation Area. - This was created in 2006 and carve this out for 2026. This starts the clock again for 25 years for this parcel.This will go through Commissioners. The bond issuance goes thru Council too. Approved Declaratory resolution.  

TIF Pruning. Deaton- Look at TIFs to see if they are producing as much as they can. Perleberg said Baker Tilly recommended this - Looking at West Harrison and West Aurora TIFs. This is in the Barnes and Thornburg Handbook. Mostly they prune residential parcels out as the Homestead exemptions are pulling TIF down. Could ask Baker Tilly for proposal per Perleberg., Kraus asked One Dearborn to look into his a bit to see what they learn to bring back. 

ONE DEARBORN REPORT:- READI 2.0 Grant update- this was for the Moore Drive RR crossing- reviewing by IEDC.

Hoffman asked Perleberg about update on Stellar Pathways. Perleberg - This designation gives access to several different grants. Bright Meadows got Bonus points up to $1million match. Hey got the match. Waiting to see if DNR gets the $1million = a $2 million project. Waiting to see what happens. Public engagement and got Park Plan updated. 

BAYER BECKER REPORT -Mark Rosenberger reported:

West Harrison I-74 EB Ramp- Rosenberger nothing new

Moore Drive and RR Crossing - Rosenberger waiting for right of entry. Duke moved poles and lines but Cinti Bell needs to move theirs- still pushing on them. 

Downtown Bright Infrastucture- Rosenberger not hearing anything more on that- Just finish both streets- just knock it out. Business Center Drive from Stateline to other road. Kraus - no ROW out there. 

DCRC Board consensus was to WAIT till next year on this. Not do the road paving. 

New Task Order 7A- I-74 Billboard Removal.-Rosenberger got 3 bids- BucherTrucking bid $4,200 lowest. Other2 were- $12,000 plus and $24,000 so big difference.  Bucher knows there is electrical to be removed. Per Kraus - This is to be paid out of the West Harrison TIF. Approved Bucher Trucking bid. 

ATTORNEY’S REPORT- Closing on Givaudan tomorrow

OTHER BUSINESS- none

PUBLIC COMMENT Amanda Thompson- Asked if the 25 year TIF is just for the Givaudan property only? YES

Perleberg- But For clause is what defines if a TIF project would or would not not happen. If the project doesn’t occur there is no benefit for the taxpayers in West Harrison.

Brandon Lang- He is all for the Givaudan Project. But wants them to know the items they ship are labelled Corrosive, Toxic, etc. Wants to know if out of state people will be getting hired. Smart said they would provide them with an economic income analysis. Harrison Fire and EMS has the HAZMAT. 

Shawna Drakę- Lives between St Leon and Bright. Pay attention to all the safety things for Givaudan. Where is their waste going? Bright has agreement with Harrison - charged per instance. How to handle bills when something happens. Similar to JTM. Sewage will go to Harrison OH as that’s where sewer goes even though DCRSD has ownership of 4th line. Water will partially come from Tri Township for first 3 years per Kraus. Looking to see for a new well might be there. Duke is energy company for this. 

Some of the residents will want to know about safety and the environmental impacts. 

Perleberg said there is a section in agreement to require the company to comply with all our entities. It would put their incentives at risk if they did not comply.

Michelle Dudley wanted know how they can get the incentives - send a request thru Auditor and they will send.
